Affiliate Program Terms and Conditions

This Affiliate Program Agreement (the “Agreement”) is made by and between Minim Digital Limited, trading as PodcasterPlus, a company registered in England (Company Number: 13802088, Registered Office: 8 Hackness Drive, Scarborough, North Yorkshire, England, YO12 5SB), hereinafter referred to as “We,” “Us,” “Our,” or “PodcasterPlus,” and you, the affiliate applicant, hereinafter referred to as “You,” “Your,” or “Affiliate.”

By applying to and participating in the PodcasterPlus Blocks Affiliate Program (the “Program”), You agree to be bound by these Terms and Conditions. If You do not agree to these Terms and Conditions, do not apply to or participate in the Program.

1. Enrollment in the Program

1.1. To enroll, You must submit a complete Program application through Our affiliate platform.

1.2. We reserve the right to approve or reject any application in Our sole discretion, without obligation to provide a reason.

1.3. If We reject Your application, You may reapply at a later date.

2. Affiliate Links and Promotion

2.1. Upon acceptance into the Program, You will be provided with unique affiliate links, banners, and other marketing materials (collectively “Affiliate Links”) to promote PodcasterPlus Blocks.

2.2. You agree to use only the Affiliate Links provided by Us. You may not alter these links.

2.3. You are solely responsible for the placement and maintenance of Affiliate Links on Your website(s), social media platform(s), email(s), or other marketing channels (“Your Platforms”).

2.4. You agree to promote PodcasterPlus Blocks in a manner that is ethical, legal, and reflects positively on Our brand.

2.5. Disclosure: You must clearly and conspicuously disclose Your affiliate relationship with PodcasterPlus in close proximity to any Affiliate Links, in accordance with all applicable laws and regulations (including, but not limited to, the UK Advertising Standards Authority (ASA) guidelines and the US Federal Trade Commission (FTC) guidelines if applicable to Your audience). This disclosure should make it clear that You may earn a commission if a user clicks on the link and makes a purchase.

3. Commission and Payment

3.1. Commission Rate

You will earn a commission of 20% (twenty percent) for each Qualified Purchase made through Your unique Affiliate Links. This rate may be modified from time to time with notice as specified in Section 7.

3.2. Qualified Purchases

A “Qualified Purchase” is a sale that meets ALL of the following criteria:

a) Made to a new customer who has not previously purchased PodcasterPlus Blocks
b) Is not a self-referral (a purchase You make for Yourself)
c) Made after clicking Your Affiliate Link within the tracking cookie period
d) Not subsequently refunded or charged back
e) Not made through fraudulent, illegal, or deceptive means

Our affiliate tracking cookie lasts for 30 days from the date a potential customer first clicks Your Affiliate Link. If the customer completes a purchase within this 30-day window, You will receive credit for the referral.

3.4. Commission Calculation

Commissions are calculated based on the net sale amount, excluding:

Taxes (VAT, sales tax, etc.)
Any discounts or promotional codes applied
Refunded purchases

3.5. Recurring Commissions

Commissions are paid on initial purchases only. You will not earn commissions on:

Subscription renewals
Plan upgrades or additional purchases by the same customer
Purchases made after the initial referral

3.6. Disqualification

We reserve the right to disqualify commissions earned through:

Fraudulent or illegal methods
Overly aggressive or misleading marketing
Cookie stuffing, ad injection, or similar techniques
Violation of any term of this Agreement

3.7. Payment Schedule

Commissions will be paid on a monthly basis, approximately 60 days after the end of the calendar month in which they were earned. This delay allows for:

Processing and verification of sales
The refund period to expire
Resolution of any disputes

3.8. Minimum Payout

A minimum commission balance of $50 USD (or equivalent in Your local currency) must be reached before payment is issued. If the minimum balance is not met, the commission will carry over to the next payment period.

3.9. Payment Method

Payments will be made via PayPal or other payment methods We make available through Our affiliate platform. You are responsible for:

Providing accurate payment details
Any fees associated with receiving payments
All taxes associated with the commissions You earn

3.10. Refunded Purchases

No commission will be paid on refunded purchases. If a commission has already been paid for a sale that is later refunded, We reserve the right to deduct the amount of that commission from Your future earnings.

4. Affiliate Responsibilities

4.1. You are responsible for the development, operation, and maintenance of Your Platforms and for all materials that appear on Your Platforms.

4.2. You will ensure that Your Platforms do NOT:

a) Promote sexually explicit, obscene, or pornographic materials
b) Promote violence, illegal activities, or discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age
c) Incorporate any materials that infringe on any copyright, trademark, or other intellectual property rights
d) Include “PodcasterPlus,” “PodcasterPlus,” or variations or misspellings thereof in:
- Your domain names
- Social media profile names
- Keywords in paid search campaigns (e.g., Google Ads) targeting Our brand terms
e) Make any false, misleading, or disparaging statements about PodcasterPlus or PodcasterPlus Blocks
f) Contain malware, spyware, or any harmful code

4.3. You will NOT engage in:

a) Spamming or unsolicited emailing
b) Black-hat SEO techniques
c) Cookie stuffing or ad injection
d) Self-referrals (using Your Affiliate Links for Your own purchases)
e) Creating fake reviews or testimonials
f) Bidding on Our brand terms in paid advertising without prior written approval

5. PodcasterPlus Responsibilities

5.1. We will provide You with Affiliate Links, banners, and other marketing materials necessary to promote PodcasterPlus Blocks.

5.2. We will be responsible for processing all orders placed by customers who follow Your Affiliate Links.

5.3. We will track sales generated through Your Affiliate Links and make commission reports available to You through Your affiliate dashboard.

5.4. We will use commercially reasonable efforts to ensure the accuracy of tracking and reporting.

5.5. We will handle all customer service, support, and refund requests related to purchases.

6. Term and Termination

6.1. Term: This Agreement will begin upon Our acceptance of Your Program application and will continue until terminated by either party.

6.2. Termination Without Cause: Either You or We may terminate this Agreement at any time, with or without cause, by giving the other party written notice of termination.

6.3. Termination for Cause: We may terminate this Agreement immediately, without notice, if You breach any of its terms, particularly those related to Affiliate Responsibilities (Section 4).

6.4. Effect of Termination: Upon termination:

a) You must immediately cease using and remove all Affiliate Links
b) You must remove all PodcasterPlus trademarks, logos, and marketing materials from Your Platforms
c) Commissions earned up to the date of termination will be paid according to the regular payment schedule, provided they are Qualified Purchases and not subject to disqualification
d) No commissions will be paid for sales made after the termination date
e) Unpaid commissions below the minimum payout threshold will be forfeited unless otherwise agreed

7. Modifications to Agreement

7.1. We may modify any of the terms and conditions in this Agreement at any time in Our sole discretion.

7.2. We will notify You of any changes by:

Posting the updated Agreement on Our website
Updating the “Last Updated” date
Sending an email to the address associated with Your affiliate account (for material changes)

7.3. Modifications may include, but are not limited to, changes in:

Commission rates
Payment schedules and thresholds
Cookie duration
Program rules and restrictions

7.4. IF ANY MODIFICATION IS UNACCEPTABLE TO YOU, YOUR ONLY RECOURSE IS TO TERMINATE THIS AGREEMENT. YOUR CONTINUED PARTICIPATION IN THE PROGRAM FOLLOWING OUR POSTING OF A CHANGE NOTICE OR NEW AGREEMENT ON OUR SITE WILL CONSTITUTE BINDING ACCEPTANCE OF THE CHANGE.

8. Relationship of Parties

8.1. You and PodcasterPlus are independent contractors. Nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties.

8.2. You will have no authority to make or accept any offers or representations on Our behalf.

8.3. You are solely responsible for Your own business expenses, taxes, and legal compliance.

9. Intellectual Property

9.1. We grant You a non-exclusive, non-transferable, revocable right to use the Affiliate Links and Our name, logos, trademarks, and service marks (collectively “Licensed Materials”) as provided through the Program solely for the purpose of promoting PodcasterPlus Blocks in accordance with this Agreement.

9.2. You may NOT:

a) Alter, modify, or change the Licensed Materials in any way
b) Use the Licensed Materials in any manner that disparages Us or damages Our reputation
c) Use the Licensed Materials for any purpose other than promoting PodcasterPlus Blocks under this Program

9.3. You acknowledge that all rights to the Licensed Materials are Our exclusive property.

9.4. This license terminates immediately upon termination of this Agreement.

10. Limitation of Liability

10.1. WE WILL NOT BE LIABLE FOR INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES (OR ANY LOSS OF REVENUE, PROFITS, OR DATA) ARISING IN CONNECTION WITH THIS AGREEMENT OR THE PROGRAM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10.2. OUR AGGREGATE LIABILITY ARISING WITH RESPECT TO THIS AGREEMENT AND THE PROGRAM WILL NOT EXCEED THE TOTAL COMMISSIONS PAID OR PAYABLE TO YOU UNDER THIS AGREEMENT IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO SUCH CLAIM.

11. Disclaimers

11.1. WE MAKE NO EXPRESS OR IMPLIED WARRANTIES OR REPRESENTATIONS WITH RESPECT TO THE PROGRAM, THE SOFTWARE SOLD THROUGH THE PROGRAM, OR ANY COMMISSIONS (INCLUDING, WITHOUT LIMITATION, WARRANTIES OF FITNESS, MERCHANTABILITY, NON-INFRINGEMENT, OR ANY IMPLIED WARRANTIES ARISING OUT OF A COURSE OF PERFORMANCE, DEALING, OR TRADE USAGE).

11.2. WE MAKE NO REPRESENTATION THAT THE OPERATION OF OUR WEBSITE OR THE AFFILIATE LINKS WILL BE UNINTERRUPTED OR ERROR-FREE, AND WE WILL NOT BE LIABLE FOR THE CONSEQUENCES OF ANY INTERRUPTIONS OR ERRORS.

11.3. WE DO NOT GUARANTEE ANY LEVEL OF COMMISSIONS OR EARNINGS.

12. Indemnification

You agree to indemnify, defend, and hold harmless PodcasterPlus, its officers, directors, employees, agents, and suppliers from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

a) Your participation in the Program
b) Your breach of this Agreement
c) Any content or materials on Your Platforms
d) Your violation of any applicable laws or regulations
e) Your violation of any third-party rights

13. Confidentiality

13.1. During Your participation in the Program, You may receive confidential information about Our business, including commission structures, conversion rates, and marketing strategies.

13.2. You agree to keep such information confidential and not disclose it to third parties.

13.3. This obligation survives termination of this Agreement.

14. Governing Law and Jurisdiction

14.1. This Agreement will be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of laws principles.

14.2. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.

15. Miscellaneous

15.1. Entire Agreement: This Agreement constitutes the entire agreement between You and Us with respect to the Program and supersedes all prior agreements and communications, oral or written.

15.2. Severability: If any provision of this Agreement is held to be invalid or unenforceable, that provision shall be struck and the remaining provisions shall be enforced.

15.3. Waiver: Our failure to enforce Your strict performance of any provision of this Agreement will not constitute a waiver of Our right to subsequently enforce such provision or any other provision of this Agreement.

15.4. Assignment: You may not assign this Agreement without Our prior written consent. We may assign this Agreement without restriction.

15.5. Notices: Notices under this Agreement shall be sent via email to the addresses associated with the respective party’s account.
