Podcaster Plus Blocks - Affiliate Program Terms and Conditions

This Affiliate Program Agreement (the “Agreement”) is made by and between Minim Digital Limited, trading as Digital Vision, a company registered in England (Company Number: 13802088, Registered Office: 8 Hackness Drive, Scarborough, North Yorkshire, England, YO12 5SB), hereinafter referred to as “We,” “Us,” “Our,” or “Podcaster Plus,” and you, the affiliate applicant, hereinafter referred to as “You,” “Your,” or “Affiliate.”

By applying to and participating in the Podcaster Plus Blocks Affiliate Program (the “Program”), You agree to be bound by these Terms and Conditions. If You do not agree to these Terms and Conditions, do not apply to or participate in the Program.

Enrollment in the Program
1. To enroll, You must submit a complete Program application through Our affiliate platform.
2. We reserve the right to approve or reject any application in Our sole discretion, without obligation to provide a reason.
3. If We reject Your application, You may reapply at a later date.
Affiliate Links & Promotion
1. Upon acceptance into the Program, You will be provided with unique affiliate links, banners, and other marketing materials (collectively “Affiliate Links”) to promote Podcaster Plus Blocks.
2. You agree to use only the Affiliate Links provided by Us. You may not alter these links.
3. You are solely responsible for the placement and maintenance of Affiliate Links on Your website(s), social media platform(s), email(s), or other marketing channels (“Your Platforms”).
4. You agree to promote Podcaster Plus Blocks in a manner that is ethical, legal, and reflects positively on Our brand.
5. Disclosure: You must clearly and conspicuously disclose Your affiliate relationship with Podcaster Plus in close proximity to any Affiliate Links, in accordance with all applicable laws and regulations (including, but not limited to, the UK’s Advertising Standards Authority (ASA) guidelines and the US Federal Trade Commission (FTC) guidelines if applicable to Your audience). This disclosure should make it clear that You may earn a commission if a user clicks on the link and makes a purchase.
Commission & Payment
1. You will earn a commission, at the rate specified in Your affiliate dashboard or as otherwise communicated by Us, for each qualifying sale of Podcaster Plus Blocks made through Your unique Affiliate Links (“Qualified Purchase”).
2. A Qualified Purchase is a sale to a new customer who has not previously purchased Podcaster Plus Blocks, is not a self-referral, and whose purchase is made after clicking Your Affiliate Link, subject to cookie tracking periods and any other criteria We may establish.
3. We reserve the right to disqualify commissions earned through fraudulent, illegal, or overly aggressive, questionable sales or marketing methods.
4. Commissions will be paid on a monthly basis, approximately 45 days after the end of the period in which they were earned, to allow for processing and any potential refunds.
5. A minimum commission balance of $50 USD must be reached before payment is issued. If the minimum balance is not met, the commission will be carried over to the next payment period.
6. Payments will be made via PayPal. You are responsible for providing accurate payment details and for any fees associated with receiving payments.
7. You are responsible for all taxes associated with the commissions You earn.
8. Commissions are calculated based on the net sale amount, excluding taxes, shipping, and any discounts.
9. No commission will be paid on refunded purchases. If a commission has already been paid for a sale that is later refunded, We reserve the right to deduct the amount of that commission from Your future earnings.
Affiliate Responsibilities
1. You are responsible for the development, operation, and maintenance of Your Platforms and for all materials that appear on Your Platforms.
2. You will ensure that Your Platforms do not:
  1. Promote sexually explicit materials.
  2. Promote violence or illegal activities.
  3. Promote discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age.
  4. Incorporate any materials which infringe or assist others to infringe on any copyright, trademark, or other intellectual property rights or to violate the law.
  5. Include “Podcaster Plus,” “PodcasterPlus,” or variations or misspellings thereof in Your domain names, social media profile names, or as keywords in paid search campaigns (e.g., Google Ads) targeting Our brand terms.
  6. Make any false, misleading, or disparaging representations or statements about Podcaster Plus or Podcaster Plus Blocks.
3. You will not engage in spamming, unsolicited emailing, or any other recognised black-hat SEO or marketing practices.
4. You will not use Your Affiliate Links for Your own purchases of Podcaster Plus Blocks (“self-referrals”).
Podcaster Plus Responsibilities
1. We will provide You with Affiliate Links necessary to promote Podcaster Plus Blocks.
2. We will be responsible for processing all orders placed by customers who follow Your Affiliate Links.
3. We will track sales generated through Your Affiliate Links and make commission reports available to You through Your affiliate dashboard.
4. We will use commercially reasonable efforts to ensure the accuracy of tracking and reporting.
Term and Termination
1. This Agreement will begin upon Our acceptance of Your Program application and will end when terminated by either party.
2. Either You or We may terminate this Agreement at any time, with or without cause, by giving the other party written notice of termination.
3. We may terminate this Agreement immediately if You breach any of its terms, particularly those related to Prohibited Activities (Section 4).
4. Upon termination, You must immediately cease using and remove all Affiliate Links and Podcaster Plus trademarks, logos, and marketing materials.
5. Commissions earned up to the date of termination will be paid according to the regular payment schedule, provided they are Qualified Purchases and not subject to disqualification. No commissions will be paid for sales made after the termination date.
Modification
1. We may modify any of the terms and conditions in this Agreement at any time in Our sole discretion.
2. We will notify You of any changes by posting a new agreement on Our site or by sending an email to the address associated with Your affiliate account.
3. Modifications may include, but are not limited to, changes in the scope of available commission fees, commission schedules, payment procedures, and Program rules.
4. IF ANY MODIFICATION IS UNACCEPTABLE TO YOU, YOUR ONLY RECOURSE IS TO TERMINATE THIS AGREEMENT. YOUR CONTINUED PARTICIPATION IN THE PROGRAM FOLLOWING OUR POSTING OF A CHANGE NOTICE OR NEW AGREEMENT ON OUR SITE WILL CONSTITUTE BINDING ACCEPTANCE OF THE CHANGE.
Relationship of Parties
1. You and Podcaster Plus are independent contractors, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties.
2. You will have no authority to make or accept any offers or representations on Our behalf.
Intellectual Property
1. We grant You a non-exclusive, non-transferable, revocable right to use the Affiliate Links and Our name, logos, trademarks, and service marks (collectively “Licensed Materials”) as provided through the Program solely for the purpose of promoting Podcaster Plus Blocks in accordance with this Agreement.
2. You may not alter, modify, or change the Licensed Materials in any way.
3. You acknowledge that all rights to the Licensed Materials are Our exclusive property. This license terminates upon termination of this Agreement.
Limitation of Liability
1. WE WILL NOT BE LIABLE FOR INDIRECT, SPECIAL, OR CONSEQUENTIAL DAMAGES (OR ANY LOSS OF REVENUE, PROFITS, OR DATA) ARISING IN CONNECTION WITH THIS AGREEMENT OR THE PROGRAM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. FURTHER, OUR AGGREGATE LIABILITY ARISING WITH RESPECT TO THIS AGREEMENT AND THE PROGRAM WILL NOT EXCEED THE TOTAL COMMISSIONS PAID OR PAYABLE TO YOU UNDER THIS AGREEMENT IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO SUCH CLAIM.
Disclaimers
1. WE MAKE NO EXPRESS OR IMPLIED WARRANTIES OR REPRESENTATIONS WITH RESPECT TO THE PROGRAM OR ANY PRODUCTS SOLD THROUGH THE PROGRAM (INCLUDING, WITHOUT LIMITATION, WARRANTIES OF FITNESS, MERCHANTABILITY, NON-INFRINGEMENT, OR ANY IMPLIED WARRANTIES ARISING OUT OF A COURSE OF PERFORMANCE, DEALING, OR TRADE USAGE).
2. IN ADDITION, WE MAKE NO REPRESENTATION THAT THE OPERATION OF OUR SITE OR THE AFFILIATE LINKS WILL BE UNINTERRUPTED OR ERROR-FREE, AND WE WILL NOT BE LIABLE FOR THE CONSEQUENCES OF ANY INTERRUPTIONS OR ERRORS.
Indemnification
1. You agree to indemnify, defend, and hold harmless Podcaster Plus, its officers, directors, employees, agents, and suppliers from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with Your participation in the Program, Your breach of this Agreement, or any content or materials on Your Platforms.
Governing Law and Jurisdiction
1. This Agreement will be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of laws principles.
2. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Miscellaneous
1. This Agreement constitutes the entire agreement between You and Us with respect to the Program and supersedes all prior agreements and communications, oral or written.
2. If any provision of this Agreement is held to be invalid or unenforceable, that provision shall be struck and the remaining provisions shall be enforced.
3. Our failure to enforce Your strict performance of any provision of this Agreement will not constitute a waiver of Our right to subsequently enforce such provision or any other provision of this Agreement.
