PodcasterPlus Blocks End User License Agreement (EULA)

This License Agreement (“Agreement”) is a legally binding contract between you (“Licensee,” “you,” or “your”) and Minim Digital Limited, trading as PodcasterPlus, a company registered in England (Company Number: 13802088), with its registered office at 8 Hackness Drive, Scarborough, North Yorkshire, England, YO12 5SB (“PodcasterPlus,” “Licensor,” “we,” “us,” or “our”).

This Agreement governs your use of PodcasterPlus Blocks WordPress plugin software (the “Software”). By purchasing, downloading, installing, or using the Software, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement.

If you do not agree to these terms, do not purchase, download, install, or use the Software.


1. Definitions

“Derivative Work” means any work that is based on or derived from the Software, including modifications, translations, adaptations, or extensions.

“Documentation” means all user guides, manuals, tutorials, help files, and other written materials provided by PodcasterPlus relating to the Software.

“GPL Code” means the portions of the Software source code that are licensed under the GNU General Public License version 2 or later (GPL-2.0-or-later).

“License” means the right to use the Software granted under this Agreement.

“License Key” means the unique alphanumeric code provided to you upon purchase that activates and validates your License.

“Lifetime Access” has the meaning set forth in Section 4.5.

“Local Development Environment” means a development, testing, or staging environment that is not publicly accessible on the internet, including but not limited to localhost installations, local network servers, and password-protected staging sites.

“Proprietary Materials” means the materials described in Section 3.2 that are not licensed under the GPL.

“Public Domain” means a website domain that is publicly accessible on the internet.

“Software” means the PodcasterPlus Blocks WordPress plugin, including all files, code, assets, and updates provided as part of your License.


2. Dual Licensing Structure

The Software is provided under a dual licensing structure to comply with WordPress licensing requirements while protecting our proprietary interests.

2.1. GNU General Public License (GPL)

The Software source code that integrates with WordPress is licensed under the GNU General Public License version 2 or later (GPL-2.0-or-later), as required for WordPress plugins. A copy of the GPL is available at https://www.gnu.org/licenses/gpl-2.0.html.

Under the GPL, you have the right to:

  • Use the GPL Code for any purpose
  • Study how the GPL Code works and modify it
  • Redistribute copies of the GPL Code
  • Distribute copies of your modified versions to others

These GPL rights apply only to the GPL Code portions of the Software.

2.2. Commercial License

In addition to the GPL, by purchasing a License, you receive a Commercial License that provides:

  • Access to updates and new features
  • Customer support in accordance with your plan tier
  • Access to Proprietary Materials
  • License Key validation services
  • Access to premium features that require a valid License

The Commercial License is subject to the terms and restrictions set forth in this Agreement.


3. Proprietary Materials

3.1. Reserved Rights

Notwithstanding the GPL license that applies to the Software source code, certain materials associated with PodcasterPlus Blocks are proprietary and are NOT licensed under the GPL.

3.2. Proprietary Materials Include:

a) Trademarks and Branding

  • The name “PodcasterPlus” and “PodcasterPlus Blocks”
  • Our logos, icons, and brand imagery
  • Marketing slogans and taglines
  • Trade dress and visual identity

b) Documentation

  • User guides and manuals
  • Tutorial content and videos
  • Knowledge base articles
  • Educational materials

c) Visual Design Elements

  • Unique visual designs, layouts, and styling
  • Custom CSS that creates our distinctive appearance
  • Image assets and graphics (other than functional icons required for plugin operation)

d) Marketing and Website Content

  • Website copy and content
  • Promotional materials
  • Sales pages and landing pages

3.3. Restrictions on Proprietary Materials

You may NOT:

  • Use our trademarks, logos, or brand name to market derivative works or suggest endorsement by PodcasterPlus
  • Redistribute, republish, or resell our Documentation
  • Copy or imitate our distinctive visual design elements in competing products
  • Use our marketing materials for any purpose without written permission

3.4. Pattern Library

The Software includes a library of WordPress block patterns. These patterns combine GPL-licensed PHP code with visual design elements. While the PHP code structure of patterns is subject to the GPL, the specific visual designs, layouts, and styling choices embodied in our patterns are proprietary design works protected by copyright.

If you redistribute the GPL Code, you must remove or replace our proprietary visual designs with your own original designs.


4. License Grant and Restrictions

4.1. License Grant

Subject to your compliance with this Agreement and your purchase of a valid License, we grant you a limited, non-exclusive, non-transferable, revocable license to:

  • a) Install and use the Software on one (1) Public Domain per License purchased
  • b) Install and use the Software on unlimited Local Development Environments
  • c) Access Software updates during your License term
  • d) Receive customer support in accordance with your plan tier

4.2. Site Activation

Each License Key may be activated on one (1) Public Domain at a time. You may deactivate a License from one domain and reactivate it on another domain, subject to reasonable use. Frequent switching between domains may be flagged as potential abuse.

4.3. Multi-Site Installations

For WordPress Multisite installations, each subsite/subdomain that is publicly accessible requires its own License, unless we offer a specific Multisite License product.

4.4. License Tiers

We offer the following License tiers, each with different support response times:

GrowUp to 2 business days
ScaleUp to 1 business day

Support response times are targets and not guarantees. Actual response times may vary based on support volume and complexity of issues.

4.5. Lifetime Access

If you purchase a “Lifetime” License (either through one-time payment or completion of a Split Pay plan), “Lifetime Access” means:

a) Duration: Access to the Software for the commercial lifetime of the product, defined as the period during which PodcasterPlus actively develops, maintains, and distributes PodcasterPlus Blocks as a commercial product.

b) Includes:

  • Perpetual use of the Software on your licensed domain(s)
  • Access to all updates and new features released during the product lifetime
  • Customer support for the product lifetime

c) Does Not Include:

  • Separate products, add-ons, or extensions not included in your original purchase
  • Successor products that may replace PodcasterPlus Blocks
  • Access to any SaaS platform or hosted services we may develop in the future

d) Product Discontinuation: If we discontinue PodcasterPlus Blocks:

  • We will provide at least 12 months’ notice to Lifetime Access holders
  • We will make the final stable version of the Software available for continued use
  • Support obligations will end upon product discontinuation

e) Non-Transferable: Lifetime Access is granted to you personally (or your organisation) and may not be transferred, sold, or assigned to another party without our prior written consent.

4.6. Annual Licenses

Annual Licenses renew automatically unless cancelled before the renewal date. Upon expiration or cancellation of an Annual License, your rights under this License terminate as described in Section 7.


5. Restrictions

5.1. You May NOT:

  • a) Circumvent License Validation: Attempt to bypass, disable, or circumvent the License Key validation system or any technical protection measures
  • b) Share License Keys: Share, publish, sell, or distribute your License Key to third parties
  • c) Exceed License Scope: Use a single License on more Public Domains than authorised
  • d) Misuse Trademarks: Use our trademarks, trade names, or branding in any manner that suggests endorsement, affiliation, or sponsorship without written permission
  • e) Reverse Engineer Non-GPL Elements: Reverse engineer, decompile, or disassemble any Proprietary Materials or non-GPL components
  • f) Create Competing Products: Use our Documentation or Proprietary Materials to create products that compete with PodcasterPlus Blocks
  • g) Remove Attribution: Remove, alter, or obscure any copyright notices, trademark notices, or attribution notices from the Software or Proprietary Materials
  • h) Sublicense: Grant sublicenses to third parties (except as permitted under the GPL for GPL Code)

5.2. GPL Redistribution

If you choose to redistribute the GPL Code (as is your right under the GPL), you must:

  • a) Remove all PodcasterPlus trademarks, logos, and branding
  • b) Remove or replace proprietary visual design elements
  • c) Clearly indicate that your distribution is not affiliated with, endorsed by, or supported by PodcasterPlus
  • d) Comply with all GPL requirements, including providing source code and GPL notices

Redistribution of the GPL Code does not include any right to our customer support, updates, Documentation, or Proprietary Materials.


6. Intellectual Property

6.1. Ownership

Except for the rights expressly granted in this Agreement and under the GPL, PodcasterPlus and its licensors retain all right, title, and interest in and to the Software, Documentation, Proprietary Materials, and all related intellectual property rights.

6.2. Trademarks

“PodcasterPlus,” “PodcasterPlus Blocks,” our logos, and other product names are trademarks of Minim Digital Limited. This Agreement does not grant you any right to use these trademarks except as expressly permitted herein.

6.3. Feedback

If you provide feedback, suggestions, or ideas regarding the Software (“Feedback”), you grant us a perpetual, irrevocable, royalty-free license to use, modify, and incorporate the Feedback into our products without obligation to you.


7. Term and Termination

7.1. Term

This Agreement is effective from the date you first install or use the Software and continues until terminated.

7.2. Termination by You

You may terminate this Agreement at any time by:

  • Uninstalling the Software from all installations
  • Discontinuing use of the Software
  • Requesting cancellation of your License

7.3. Termination by Us

We may terminate this Agreement immediately if you:

  • Breach any term of this Agreement
  • Fail to pay applicable License fees
  • Engage in fraudulent or illegal activity
  • Abuse our support services or systems

7.4. Effect of Termination

Upon termination of this Agreement or expiration of your License:

  • a) Your License Key will be deactivated
  • b) You will no longer receive updates or support
  • c) The Episode Selector functionality will be disabled, preventing selection of new episodes
  • d) Existing episode data on your site will remain intact and continue to display
  • e) You may continue to use any GPL Code you have obtained, subject to the GPL (but without our support, updates, or Proprietary Materials)
  • f) You must cease using all Proprietary Materials
  • g) You may remove all plugin data by uninstalling the Software

7.5. Survival

Sections 3 (Proprietary Materials), 6 (Intellectual Property), 8 (Disclaimer of Warranties), 9 (Limitation of Liability), 10 (Indemnification), and 12 (General Provisions) shall survive termination of this Agreement.


8. Disclaimer of Warranties

8.1. AS-IS Basis

THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

8.2. Disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • a) IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
  • b) WARRANTIES OF NON-INFRINGEMENT
  • c) WARRANTIES THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
  • d) WARRANTIES REGARDING THE ACCURACY OR RELIABILITY OF THE SOFTWARE

8.3. Third-Party Compatibility

We do not warrant that the Software will be compatible with all WordPress installations, themes, plugins, hosting environments, or configurations. Compatibility issues caused by third-party software are not covered by this warranty.

8.4. Statutory Rights

Nothing in this Agreement excludes or limits any warranty implied by law that it would be unlawful to exclude or limit. If you are a consumer, you may have statutory rights that cannot be waived.


9. Limitation of Liability

9.1. Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PODCASTERPLUS SHALL NOT BE LIABLE FOR ANY:

  • a) INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • b) LOSS OF PROFITS, REVENUE, OR DATA
  • c) BUSINESS INTERRUPTION
  • d) COST OF SUBSTITUTE GOODS OR SERVICES

ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE SOFTWARE, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9.2. Liability Cap

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE SOFTWARE SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE LICENSE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9.3. Essential Purpose

THE LIMITATIONS IN THIS SECTION SHALL APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

9.4. Exceptions

Nothing in this Agreement limits or excludes our liability for:

  • a) Death or personal injury caused by our negligence
  • b) Fraud or fraudulent misrepresentation
  • c) Any other liability that cannot be excluded or limited under applicable law

10. Indemnification

You agree to indemnify, defend, and hold harmless PodcasterPlus, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

  • a) Your use of the Software
  • b) Your breach of this Agreement
  • c) Your violation of any third-party rights
  • d) Any content you create or distribute using the Software
  • e) Any Derivative Works you create and distribute

11. Updates and Modifications

11.1. Software Updates

We may release updates to the Software from time to time. Updates may add, modify, or remove features. While we strive to maintain backward compatibility, we do not guarantee that updates will not affect your existing configurations.

11.2. Agreement Modifications

We may modify this Agreement from time to time. We will notify you of material changes by posting the updated Agreement and updating the “Last Updated” date. For significant changes affecting your rights, we will provide notice via email.

Your continued use of the Software after modifications constitutes acceptance of the modified Agreement.


12. General Provisions

12.1. Entire Agreement

This Agreement, together with our Terms of Service, Privacy Policy, and Refund Policy, constitutes the entire agreement between you and PodcasterPlus regarding the Software.

12.2. Severability

If any provision of this Agreement is found to be unenforceable, the remaining provisions shall remain in full force and effect.

12.3. Waiver

Our failure to enforce any provision of this Agreement shall not constitute a waiver of that provision.

12.4. Assignment

You may not assign or transfer this Agreement or your License without our prior written consent. We may assign our rights and obligations without restriction.

12.5. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

12.6. Jurisdiction

Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12.7. Export Compliance

You agree to comply with all applicable export laws and regulations in your use of the Software.


13. Open Source Components

The Software may include or depend upon open source software components. These components are subject to their respective open source licenses. A list of open source components and their licenses may be found in the Software documentation or source code.
